MERGERS AND ACQUISITIONSLS Black Constructors, St. Paul, and Dew Corp., North St. Paul, have merged to form Black and Dew, a construction company to be based in North St. Paul. Sterling Black will be chief executive officer and Robert Dew will be president.

DEBT AND EQUITIESRimage Corp., Edina, granted an inducement award to Ray Hood in connection with his appointment as senior vice president of Rimage and general manager of Qumu. Hood will get a nonqualified stock option to buy 150,000 shares of Rimage's common stock. The option, granted on Oct. 10, and has an exercise price equal to the fair market value of Rimage's common stock on that date.
