MERGERS AND ACQUISITIONSMegaMex Foods LLC, a joint venture between Austin-based Hormel Foods Corp. and Herdez Del Fuerte, S.A. de C.V., has closed on an agreement to acquire 100 percent of Fresherized Foods, a producer of Wholly Guacamole, Wholly Salsa and Wholly Queso products. Annual sales are expected to be about $140 million.
RBA Consulting, Minneapolis, has signed a definitive agreement to acquire Ratchet Inc., a Minneapolis technology firm specializing in digital marketing products. Terms were not disclosed. Ratchet has 42 employees, earned about $5 million in revenue in 2010 and serves clients throughout the Midwest. Upon execution of the agreement, Ratchet will become a wholly-owned subsidiary of RBA Inc.
NEW BUSINESSThe Minneapolis law firm of Dorsey & Whitney LLP has established a special counsel relationship with the Chinese law firm of Martin Hu & Partners (MHP) in Shanghai. Under the special counsel relationship, MHP will be available, as special counsel to Dorsey, to advise Dorsey and Dorsey clients with respect to law on the mainland of the People's Republic of China, and Dorsey, as special foreign counsel to MHP, will be available to advise MHP and MHP clients with respect to jurisdictions in which Dorsey is permitted to practice.
